Payment & Refund Policy

This Payment & Refund Policy (“Payment Policy”) governs all payments, billing, and refund practices associated with your use of Verily’s services and programs (each, a “Service”). By purchasing or enrolling in any Service, you acknowledge that you have read, understood, and agree to be bound by this Payment Policy. This Payment Policy is incorporated into and forms part of our Terms of Service. Additional terms specific to individual Services or subscription programs may supplement this Payment Policy. In the event of a conflict between this Payment Policy and any Service-specific terms, the Service-specific terms shall control with respect to that Service.

All payments are processed by Stripe, Inc. (“Stripe”), our third-party payment processor. Your payment information is transmitted directly to and processed by Stripe in accordance with Stripe's privacy policy, and is governed by Stripe's data handling practices in addition to our own Privacy Policy.

Definitions

For purposes of this Payment Policy, the following terms shall have the meanings set forth below. “Account” means the user account you create to access and use our Services. “Billing Anniversary Date” means the calendar date each month on which your recurring subscription charge is processed, corresponding to the date of your initial enrollment in the applicable Service. “Payment Method” means the valid credit card, debit card, or other payment instrument you provide and authorize for charges under this Payment Policy. “Subscription” means your ongoing, recurring enrollment in a Service that is billed on a periodic basis.

Payment Methods and Authorization

You agree to provide a valid Payment Method at the time of purchase or enrollment and to keep your payment information current and accurate throughout the duration of any active Subscription or as otherwise required. You authorize us to charge your Payment Method for all fees incurred under this Payment Policy and any applicable Service-specific terms, including one-time fees, recurring Subscription fees, and any other charges disclosed to you at the time of purchase.

You are solely responsible for ensuring that your Payment Method is valid, has sufficient funds, and is authorized for recurring transactions. We are not responsible for any fees, penalties, or charges imposed by your financial institution in connection with our processing of authorized charges under this Payment Policy. 

Recurring Billing

For Services that include a recurring Subscription, you will be charged at the time of enrollment, and subsequent charges will recur on the same calendar date each billing period (your Billing Anniversary Date). For example, if you enroll on the 15th of a given month for a monthly Subscription, you will be billed on the 15th of each subsequent month. If your Billing Anniversary Date falls on a date that does not exist in a given month (for example, the 31st in a month with only 30 days), your charge will be processed on the last day of that month. All Subscription fees are charged in advance for the upcoming billing period. By providing your Payment Method, you authorize us and our payment processor to charge the applicable fees on a recurring basis without further approval from you, until you cancel your Subscription in accordance with the cancellation provisions of this Payment Policy or the applicable Service-specific terms. Subscription fees are subject to change upon reasonable prior notice. Any fee changes will take effect at the start of your next billing cycle following the notice period.

Promotional Pricing, Coupons, and Discounts

We may, from time to time and in our sole discretion, offer promotional pricing, coupons, discount codes, or other special offers (“Promotional Pricing”) that reduce the price of a product or service, or a Subscription fee for a specified period or number of billing cycles. Promotional Pricing is subject to any terms, conditions, and limitations disclosed at the time the offer is made available, including without limitation eligibility requirements, duration, and applicable Services.


Unless otherwise expressly stated in the terms of the applicable offer, upon the expiration or conclusion of any Promotional Pricing period, your Subscription will automatically continue and you will be billed at the then-current standard retail price for the applicable Service on your next Billing Anniversary Date. By enrolling in a Subscription using Promotional Pricing, you acknowledge and agree that (a) the reduced rate is temporary and limited to the promotional period specified at the time of enrollment, (b) you authorize us to charge your Payment Method at the then-current standard retail price upon expiration of the promotional period without further notice or approval, and (c) it is your responsibility to cancel your Subscription prior to the end of the promotional period if you do not wish to continue at the standard retail price. Promotional Pricing may not be combined with other offers, transferred, or applied retroactively, unless we expressly state otherwise.

Failed Payments

If your Payment Method is declined at the time of a scheduled renewal charge, we will notify you and provide a forty-eight (48) hour window to update your payment information. During this grace period, you may update your Payment Method through the application. If valid payment is not received within forty-eight (48) hours of the initial failed charge notification, your Subscription will be automatically cancelled.


Subscriptions cancelled due to failed payment are not eligible for reinstatement at a previous rate, promotional pricing, or any other preferential terms. If you wish to re-enroll following a cancellation for non-payment, you will be required to enroll as a new subscriber at the then-current rate and may be subject to any additional enrollment requirements specified in the applicable Service-specific terms.

Cancellation

You may cancel your Subscription at any time through the application. To avoid being charged for your next billing cycle, cancellation requests must be submitted at least two (2) days prior to your next Billing Anniversary Date. Cancellations submitted fewer than two (2) days before your next billing date will take effect at the end of the following billing period, and you will be charged for that additional period.


Upon cancellation, your access to the applicable Service will continue through the end of your then-current paid billing period. At the conclusion of that period, your Subscription will terminate and you will no longer have access to the Service. Cancellation does not entitle you to a refund for any portion of the current billing period.

Refund Policy

All payments made under this Payment Policy are non-refundable except as expressly provided in this section or in applicable Service-specific terms. We do not offer prorated refunds for any unused portion of a billing period following cancellation.


Notwithstanding the foregoing, we may, in our sole and absolute discretion, issue a refund or credit in the event of (a) a documented billing error attributable to us or our payment processor, (b) a duplicate charge for the same billing period, or (c) other exceptional circumstances as determined by us. Refund requests for billing errors must be submitted within thirty (30) days of the charge in question by contacting our support team. Approved refunds will be credited to the original Payment Method and may take five (5) to ten (10) business days to appear on your statement, depending on your financial institution.

Payment Data and Privacy

Personal data you provide in connection with payment processing—including your name, billing address, and payment card details—is collected by us and transmitted to Stripe for processing. We do not directly store or have access to your full payment card numbers. Stripe's use of your payment data is governed by Stripe's privacy policy, available at stripe.com/privacy. By purchasing or enrolling in any Service and submitting payment information, you consent to our sharing of your payment data with Stripe for the purpose of processing transactions, managing your Subscription, and related payment services.


Because our Services involve clinical assessments and health-related services, we maintain a strict separation between your clinical and health-related information and the payment processing functions performed by Stripe. No Protected Health Information (“PHI”), as defined under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), is shared with, transmitted to, or accessible by our payment processor. Clinical details, diagnoses, medication information, and other individually identifiable health information are maintained exclusively within our clinical systems and are not included in any transaction data, product descriptions, invoice metadata, or other information transmitted to Stripe in connection with payment processing.


Upon cancellation or termination of your Account, your stored payment information held by Stripe may be deleted in accordance with Stripe's data retention policies and applicable law. We do not independently retain full payment card information following Account termination.


In the event of a data security incident involving unauthorized access to, acquisition of, or loss of personal data used in connection with payment processing, we will notify affected users and applicable regulatory authorities in accordance with our Privacy Policy and applicable law. We may also be required to share relevant information with Stripe and other third-party service providers in connection with investigating and responding to such incidents.

Taxes and Additional Charges

All fees stated are exclusive of applicable taxes unless otherwise indicated. You are responsible for any applicable sales tax, use tax, value-added tax, or similar governmental charges arising from your purchase, as determined by your jurisdiction. Such taxes will be calculated and added to your charges at the time of billing where required by law.

Disputes and Chargebacks

If you believe a charge is incorrect, you agree to contact us first to attempt to resolve the issue before initiating a dispute or chargeback with your financial institution. Initiating a chargeback or payment dispute without first contacting us may result in immediate suspension or termination of your Account and access to all Services. We reserve the right to contest any chargeback and to recover any costs associated with chargeback disputes, including administrative fees, to the fullest extent permitted by applicable law.

Modifications to This Payment Policy

We reserve the right to modify this Payment Policy at any time. If we make material changes to this Payment Policy, we will provide you with notice through the application or by other reasonable means prior to the changes taking effect. Your continued use of any Service following the effective date of any modifications constitutes your acceptance of the updated Payment Policy. If you do not agree to the modified terms, you may cancel your Subscription in accordance with the cancellation provisions of this Payment Policy.
